Close a company or LLP properly

A dormant company still has filing duties, and ignoring them creates penalties. We check eligibility, clear pending filings and complete the strike-off so the entity is closed on the record.

What is included

  • Eligibility check: pending filings, liabilities, bank account and assets
  • Pending compliance clean-up before closure
  • Strike-off application: STK-2 for companies, Form 24 for LLPs
  • Resolutions, indemnity bonds and affidavits
  • Follow-up with the Registrar until the notice and final order

Documents we need

  • Certificate of incorporation and PAN of the entity
  • Latest financial statements and bank statement showing nil or closed account
  • Resolution of directors or partners approving the closure
  • Affidavits and indemnity bonds, which we prepare for signature
  • Proof that no outstanding liabilities remain

The exact list depends on your case. We confirm it before we start.

Questions about company & llp closure

Can any company be struck off?

No. The entity must not have been carrying on business for a set period, and it must have no pending liabilities or litigation. We check the conditions before filing.

How long does closure take?

It depends on the Registrar’s processing and on how many filings are pending. We give an estimate after reviewing your records, and we do not promise a fixed date.

Is closing the same as stopping to file returns?

No. Until the Registrar strikes the name off, the entity keeps its filing duties.
